IMPORTANT — PLEASE READ CAREFULLY:

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Patriot Hauls. By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Platform.

NOTICE REGARDING DISPUTE RESOLUTION:

These Terms contain a binding arbitration clause and class action waiver in Section 16 that affect your legal rights. Please read them carefully. By agreeing to these Terms, you agree to resolve most disputes through binding individual arbitration rather than in court, and you waive your right to participate in class actions or class arbitrations.

1. Agreement to Terms

By accessing, browsing, or using the Patriot Hauls website located at patriothauls.com, our mobile applications, or any related services, tools, features, or functionalities (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy (available at patriothauls.com/privacy), and our SMS Terms and Conditions (Section 9 below), all of which are incorporated herein by reference (collectively, the “Agreement”).

Patriot Hauls reserves the right to modify, amend, or update these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Platform, sending you an email notification, and/or by other reasonable means. The “Last Updated” date at the top of these Terms indicates when the most recent changes were made. Your continued access to or use of the Platform after any such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform immediately.

2. Definitions

“Patriot Hauls,” “we,” “us,” or “our” refers to Patriot Hauls, a platform operated by Patriot Hauls Inc, a Texas limited liability company, with its principal place of business in Austin, Texas.

“User,” “you,” or “your” refers to any individual or entity that accesses or uses the Platform, whether or not they have registered an account, including both Renters and Operators.

“Renter” refers to any User who accesses the Platform to search for, inquire about, or obtain trailer rental services from Operators.

“Operator” refers to any independent trailer rental business owner or entity that lists their business, equipment, or services on the Platform. Operators are independent businesses and are not employees, agents, joint venturers, or partners of Patriot Hauls.

“Content” refers to all text, images, photos, audio, video, reviews, ratings, business information, equipment listings, location data, and all other forms of data or communications submitted, posted, displayed, or transmitted through or in connection with the Platform.

“User Content” refers to Content that Users submit or transmit to, through, or in connection with the Platform, including but not limited to reviews, ratings, photos, comments, business listings, profile information, and communications.

“Patriot Hauls Content” refers to Content that we create, own, or license and make available through the Platform, including but not limited to the visual design, interface, graphics, logos, badges, compilation of listings, software, and all other proprietary elements of the Platform.

“Services” refers to all services provided by Patriot Hauls through the Platform, including but not limited to the directory listings, search functionality, operator verification, badge programs, messaging, lead generation, review systems, and subscription services.

3. Description of Service

3.1 Platform Overview

Patriot Hauls operates an online directory and referral platform that connects Renters seeking trailer rental services with independent, vetted Operators who own and operate trailer rental businesses across the United States. The Platform serves as a directory, marketing, and lead generation service for the trailer rental industry.

3.2 Directory Model — Not a Rental Company

PATRIOT HAULS IS A DIRECTORY AND REFERRAL SERVICE. WE DO NOT OWN, OPERATE, MANAGE, OR CONTROL ANY TRAILER RENTAL BUSINESS LISTED ON OUR PLATFORM.

All rental agreements, transactions, and interactions are directly between the Renter and the Operator. Patriot Hauls is not a party to any rental agreement and assumes no responsibility or liability for the conduct, equipment condition, safety, legality, quality, or availability of services provided by any Operator.

3.3 No Guarantee of Results

We do not guarantee that any Renter will find suitable equipment or services, that any Operator will receive leads or bookings, or that any interaction between Users will result in a completed transaction. The Platform is provided on an “as is” and “as available” basis.

4. Eligibility

4.1 Age Requirements

You must be at least eighteen (18) years of age to access or use the Platform. By accessing or using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement. If you are under 18, you are prohibited from accessing or using the Platform.

4.2 Business Eligibility (Operators)

To register as an Operator on the Platform, you must: (a) be the owner or authorized representative of a legitimate trailer rental business; (b) hold all licenses, permits, and authorizations required by applicable federal, state, and local laws to operate your business; (c) maintain commercial general liability insurance meeting our minimum requirements as outlined in the Operator Agreement; and (d) comply with all applicable laws, regulations, and industry standards.

4.3 Prohibited Users

You may not access or use the Platform if: (a) you have been previously banned or removed from the Platform; (b) you are a competitor of Patriot Hauls using the Platform for competitive intelligence or data scraping; (c) you are located in a jurisdiction where access to or use of the Platform would violate applicable law; or (d) you cannot form a legally binding contract under applicable law.

5. Account Registration and Security

5.1 Account Creation

Certain features of the Platform require you to create an account. When creating an account, you agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information to keep it accurate, current, and complete; (c) maintain the confidentiality of your account credentials, including your password; (d) immediately notify us of any unauthorized use of your account or any other breach of security; and (e) accept all responsibility for all activity that occurs under your account.

5.2 One Account Per User

Each User may maintain only one account. Creating multiple accounts, using another person’s account, or sharing your account credentials with third parties is prohibited and grounds for immediate termination.

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time, for any reason or no reason, with or without notice, including but not limited to violations of these Terms, fraudulent activity, or conduct that we determine, in our sole discretion, to be harmful to the Platform, other Users, or Patriot Hauls. Upon termination, your right to access and use the Platform ceases immediately.

6. Operator Terms

6.1 Operator Listing and Subscription

Operators may list their businesses on the Platform subject to our verification and approval process. Patriot Hauls offers tiered subscription plans for Operators, the terms and pricing of which are described on the Platform and may be modified from time to time. Subscription fees are billed in accordance with the billing terms presented at the time of enrollment and are non-refundable except as expressly provided herein or required by applicable law.

6.2 Operator Representations and Warranties

By listing your business on the Platform, you represent and warrant that: (a) all information you provide is accurate, truthful, and not misleading; (b) you are duly licensed and authorized to operate your trailer rental business in all jurisdictions in which you operate; (c) you maintain adequate commercial general liability insurance with coverage limits of at least $500,000 per occurrence; (d) all equipment listed on the Platform is safe, road-worthy, properly maintained, and complies with all applicable safety standards and regulations; (e) you will honor all pricing, availability, and terms as listed on the Platform; and (f) you will comply with all applicable federal, state, and local laws, regulations, and ordinances.

6.3 Verification and Badges

Patriot Hauls may offer verification and badge programs (including but not limited to “Verified Operator,” “Insured,” “Veteran-Owned,” and “Elite Operator” badges) to indicate that an Operator has met certain criteria. Badge requirements are determined by Patriot Hauls in its sole discretion and may include identity verification, insurance documentation, military service verification (via DD-214), customer satisfaction metrics, and other criteria. Badges do not constitute an endorsement, guarantee, or warranty by Patriot Hauls regarding the quality, safety, or reliability of any Operator’s services.

6.4 Operator Conduct

Operators must maintain professional standards of conduct in all interactions facilitated through or in connection with the Platform. Failure to respond to inquiries, receipt of verified complaints, insurance lapses, fraudulent activity, misrepresentation, or any conduct that Patriot Hauls determines, in its sole discretion, to be detrimental to the Platform or its Users may result in listing removal, badge revocation, account suspension, or permanent termination without refund.

6.5 Operator Independence

Operators are independent businesses and are not employees, contractors, agents, or representatives of Patriot Hauls. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between Patriot Hauls and any Operator. Operators are solely responsible for their own business operations, tax obligations, insurance, compliance, and all interactions with Renters.

7. Renter Terms

7.1 Renter Responsibilities

Renters acknowledge and agree that: (a) all rental agreements are entered into directly with the Operator, not with Patriot Hauls; (b) Renters are solely responsible for verifying the suitability, safety, and condition of any equipment before renting; (c) Renters must comply with all applicable laws, including towing regulations, weight limits, licensing requirements, and traffic laws; (d) Renters should independently verify Operator credentials, insurance, and business legitimacy; and (e) Patriot Hauls is not responsible for any injury, property damage, loss, or other harm arising from any rental transaction.

7.2 Reviews and Ratings

Renters may submit reviews and ratings for Operators through the Platform. By submitting a review, you represent and warrant that: (a) your review is based on a genuine, firsthand experience with the Operator; (b) your review is truthful, accurate, and not misleading; (c) you have not been compensated or incentivized in any way to submit the review; (d) your review does not contain defamatory, harassing, threatening, or otherwise unlawful content; and (e) you grant Patriot Hauls the rights described in Section 8 below.

8. User Content

8.1 Responsibility for User Content

You are solely responsible for all User Content that you submit, post, or transmit through the Platform. You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit such User Content and to grant the licenses described herein. You may not submit User Content that infringes any third party’s intellectual property, privacy, or other rights.

8.2 License to Patriot Hauls

By submitting User Content to the Platform, you grant Patriot Hauls a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly display, and publicly perform such User Content in any media or format, whether now known or hereafter developed, for any purpose, including but not limited to operating, promoting, and improving the Platform and our Services.

8.3 Content Moderation

Patriot Hauls reserves the right, but has no obligation, to monitor, review, screen, edit, remove, or reinstate any User Content at our sole discretion, for any reason or no reason, and without prior notice. We may remove Content that we determine, in our sole discretion, violates these Terms, our content guidelines, applicable law, or is otherwise objectionable.

8.4 Intellectual Property

All Patriot Hauls Content, including but not limited to the Platform’s visual design, interface, graphics, logos, trademarks (including the Patriot Hauls name, logo, badge designs, and “Haul Freedom” and “Built by Blue-Collar. Owned by Blue-Collar.” taglines), trade dress, software, compilation of listings, and all other proprietary elements, are owned by or licensed to Patriot Hauls and are protected by copyright, trademark, trade dress, patent, trade secret, and other intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Patriot Hauls Content without our prior written consent.

9. SMS/Text Message Terms and Consent

9.1 Consent to Receive Communications

By providing your telephone number to Patriot Hauls and/or opting in to receive text messages through the Platform, you expressly consent to receive text messages (SMS and MMS) from Patriot Hauls and its service providers at the telephone number(s) you have provided. These messages may include, but are not limited to:

• Account notifications and verification codes
• Operator inquiry confirmations and lead notifications
• Rental inquiry updates and status notifications
• Service announcements and platform updates
• Promotional offers and marketing communications (with your prior express written consent)
• Review requests following completed rental inquiries or interactions
• Customer support and transactional communications

9.2 Message Frequency and Rates

Message frequency varies based on your interactions with the Platform and the preferences you select. Standard message and data rates from your wireless carrier may apply. You are solely responsible for any charges assessed by your wireless carrier. Patriot Hauls is not responsible for any fees or charges associated with text messages sent or received through the Platform.

9.3 Opt-Out Instructions

You may opt out of receiving text messages at any time by replying STOP to any text message you receive from Patriot Hauls. Upon receipt of your STOP request, we will send you a single confirmation message to confirm that you have been unsubscribed. You will receive no further messages from us unless you re-subscribe. You may also opt out by emailing us at support@patriothauls.com or by updating your communication preferences in your account settings.

9.4 Help and Support

For help with text messaging, reply HELP to any message from Patriot Hauls or contact us at support@patriothauls.com or (877) 618-3959.

9.5 Carrier Disclaimer

Carriers (including but not limited to AT&T, T-Mobile, Verizon, and U.S. Cellular) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier and their policies. Patriot Hauls does not guarantee message delivery.

9.6 SMS Data Privacy

SMS opt-in data and consent information will not be shared with or sold to third parties for marketing or promotional purposes. We may share SMS-related data with our text messaging service providers (such as Twilio) solely for the purpose of delivering messages you have consented to receive. 9.7 Telephone Consumer Protection Act (TCPA) Compliance

Patriot Hauls complies with the Telephone Consumer Protection Act (TCPA), the Cellular Telecommunications Industry Association (CTIA) Messaging Principles and Best Practices, and all applicable federal and state laws governing text messaging. We will not send text messages to any number without the prior express consent of the subscriber. We maintain records of consent in compliance with applicable regulations.

10. Communications from Patriot Hauls and Others

By accessing or using the Platform, you consent to receive communications from Patriot Hauls through the Platform or through any other means such as emails, push notifications, text messages (subject to Section 9), and phone calls. These communications may include Platform updates, service notifications, marketing materials from Patriot Hauls, and messages from Operators. You may manage your communication preferences through your account settings or by contacting us at support@patriothauls.com.

Any communications, including phone calls, with Patriot Hauls or through the Platform may be monitored and recorded for quality assurance, training, and legal purposes.

11. Payment Terms

11.1 Subscription Fees

Operators who subscribe to paid tiers on the Platform agree to pay the applicable subscription fees as presented at the time of enrollment. All fees are in United States Dollars (USD). Subscription fees are billed on a recurring monthly basis unless otherwise specified. You authorize Patriot Hauls and our payment processor (Stripe) to charge your designated payment method for all applicable fees.

11.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing cycle at the then-current rate unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting us at operators@patriothauls.com. Cancellation will take effect at the end of the current billing period, and you will continue to have access to paid features until that date.

11.3 Refund Policy

Subscription fees are generally non-refundable. In the event of billing errors or duplicate charges, please contact us at billing@patriothauls.com within thirty (30) days of the charge, and we will review and correct any verified errors. Patriot Hauls reserves the right, in its sole discretion, to issue refunds or credits on a case-by-case basis.

11.4 Price Changes

Patriot Hauls reserves the right to modify subscription pricing at any time. We will provide at least thirty (30) days’ prior written notice of any price increase. Your continued use of the Platform after the price change takes effect constitutes your acceptance of the new pricing. Founding Member pricing, where applicable, is locked at the rate in effect at the time of the member’s initial enrollment and will not be subject to general price increases during the term of continuous, uninterrupted subscription.

12. Prohibited Conduct

You agree not to, and you agree not to assist, encourage, or enable any third party to:

• Violate these Terms or any applicable law, regulation, or ordinance;
• Post, submit, or transmit any Content that is false, misleading, defamatory, libelous, obscene, threatening, harassing, discriminatory, or otherwise objectionable;
• Post fake reviews, trade reviews with others, or compensate or be compensated to post, modify, or remove reviews;
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• Use the Platform for any commercial purpose not expressly authorized by these Terms, including advertising, soliciting, or spamming;
• Interfere with, disrupt, or create an undue burden on the Platform or the networks, servers, or systems connected to the Platform;
• Use any robot, spider, scraper, crawler, or other automated means to access or collect data from the Platform, except as expressly permitted by Patriot Hauls (for example, as described at patriothauls.com/robots.txt);
• Attempt to gain unauthorized access to the Platform, other Users’ accounts, or any computer systems or networks connected to the Platform;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Platform;
• Copy, reproduce, distribute, publicly display, or create derivative works from any Patriot Hauls Content without prior written consent;
• Use the Platform to collect or harvest personal information of other Users without their consent;
• Transmit any viruses, malware, worms, or other malicious code through or in connection with the Platform;
• Circumvent, disable, or otherwise interfere with any security-related features of the Platform or features that prevent or restrict the use or copying of Content;
• Use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party’s use of the Platform; or
• Assist, encourage, or enable any third party to do any of the foregoing.

13. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or content (“Third-Party Services”), including but not limited to payment processors, insurance verification services, mapping services, and Operator websites. Patriot Hauls does not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your own risk and subject to the terms and conditions and privacy policies of those third parties. We encourage you to read the terms and privacy policies of any Third-Party Services before using them.

14. Disclaimers of Warranties

PLEASE READ THIS SECTION CAREFULLY. IT LIMITS THE LIABILITY OF PATRIOT HAULS TO YOU. EACH SUBSECTION BELOW APPLIES ONLY TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

THE PLATFORM AND ALL SERVICES, CONTENT, FEATURES, AND FUNCTIONALITIES ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. PATRIOT HAULS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE PLATFORM OR SERVICES, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, OR AVAILABILITY.

PATRIOT HAULS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. PATRIOT HAULS DOES NOT WARRANT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE THROUGH THE PLATFORM, INCLUDING BUT NOT LIMITED TO OPERATOR LISTINGS, REVIEWS, RATINGS, BUSINESS INFORMATION, PRICING, AVAILABILITY, OR INSURANCE STATUS.

PATRIOT HAULS DOES NOT VERIFY, ENDORSE, OR GUARANTEE THE IDENTITY, QUALIFICATIONS, LICENSING, INSURANCE COVERAGE, EQUIPMENT CONDITION, OR QUALITY OF SERVICE OF ANY OPERATOR LISTED ON THE PLATFORM. BADGES AND VERIFICATION INDICATORS ARE INFORMATIONAL ONLY AND DO NOT CONSTITUTE A GUARANTEE OR WARRANTY. YOU USE THE PLATFORM AND RELY ON OPERATOR LISTINGS AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATRIOT HAULS, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS (COLLECTIVELY, THE “PATRIOT HAULS PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF PATRIOT HAULS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE PATRIOT HAULS PARTIES’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO PATRIOT HAULS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE PATRIOT HAULS PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES, INJURIES, LOSSES, OR CLAIMS ARISING FROM: (I) ANY RENTAL TRANSACTION BETWEEN A RENTER AND AN OPERATOR; (II) THE CONDITION, SAFETY, LEGALITY, OR QUALITY OF ANY EQUIPMENT LISTED ON THE PLATFORM; (III) THE CONDUCT, ACTS, OR OMISSIONS OF ANY OPERATOR OR RENTER; (IV) ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT; OR (V) ANY THIRD-PARTY CONTENT OR THIRD-PARTY SERVICES.

16. Dispute Resolution, Arbitration, and Class Action Waiver

16.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact Patriot Hauls at legal@patriothauls.com and attempt to resolve the dispute informally for at least sixty (60) days. Most disputes can be resolved through informal negotiation.

16.2 Binding Arbitration

If a dispute cannot be resolved informally, you and Patriot Hauls agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as modified herein. Arbitration shall take place in Harris County, Texas, or at another mutually agreed location. The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms.

16.3 Class Action Waiver

YOU AND PATRIOT HAULS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

16.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims within the jurisdiction of a small claims court may be brought in small claims court in Harris County, Texas.

17. Indemnification

You agree to indemnify, defend, and hold harmless the Patriot Hauls Parties from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including but not limited to reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third party’s rights, including intellectual property, privacy, or publicity rights; (e) any rental transaction, interaction, or dispute between you and another User; (f) your violation of any applicable law, regulation, or ordinance; or (g) any activity that occurs through your account. Patriot Hauls reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.

19. Intellectual Property and DMCA

Patriot Hauls respects the intellectual property rights of others. If you believe that any Content on the Platform infringes your copyright or other intellectual property rights, please send a written notice to our designated agent at legal@patriothauls.com containing: (a) a description of the copyrighted work or intellectual property you claim has been infringed; (b) a description of the location on the Platform where the allegedly infringing material is located; (c) your contact information; (d) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf; and (f) your physical or electronic signature.

20. Termination

We may terminate or suspend your access to the Platform at any time, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination: (a) your right to access and use the Platform immediately ceases; (b) we may delete or disable your account and all associated Content; (c) any outstanding fees or obligations remain due and payable; and (d) all provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms and policies referenced herein, constitute the entire agreement between you and Patriot Hauls with respect to the Platform and supersede all prior or contemporaneous agreements, communications, or understandings, whether oral or written.

21.2 Severability

If any provision of these Terms is found to be invalid, unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms shall remain in full force and effect.

21.3 Waiver

The failure of Patriot Hauls to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Patriot Hauls to be effective.

21.4 Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder without the prior written consent of Patriot Hauls. Patriot Hauls may freely assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

21.5 Force Majeure

Patriot Hauls shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, earthquakes, floods, fire, government actions, labor disputes, internet or telecommunications failures, or third-party service disruptions.

21.6 Survival

The following sections shall survive any expiration or termination of these Terms: Sections 2 (Definitions), 8 (User Content), 9.6 (SMS Data Privacy), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Dispute Resolution), 17 (Indemnification), 18 (Governing Law), and 21 (General Provisions).
